1. DEFINITIONS AND INTERPRETATION

"Site" means the website located at hycalibre.com and any associated subdomains.
"Products" means all digital products, materials, case studies, model tests, templates, and other content offered for sale or download through the Site.
"Services" means all services provided through the Site, including access to Products and related support.

"Personal Use" means use solely for your individual professional development and interview preparation, excluding any commercial use, redistribution, or sharing.

(b) You have read, understood, and agree to be bound by these Terms;

2.2 We reserve the right to modify these Terms at any time. Continued use of the Site after modifications constitutes acceptance of the updated Terms. Your statutory rights are not affected.
3. INDEPENDENCE AND NO AFFILIATION
3.1 Hycalibre is an independent educational service provider. We are NOT:
(a) Affiliated with, endorsed by, sponsored by, or connected to any investment bank, hedge fund, private equity firm, asset management company, or other financial institution;
(b) Authorized to represent, act on behalf of, or speak for any financial institution;
(c) Providing materials created by, sourced from, or approved by any financial institution.
3.2 All Products are created independently by Hycalibre for educational and interview preparation purposes only.
3.3 Any reference to industry practices, formats, or methodologies reflects our understanding of publicly available information and industry-standard approaches, not confidential or proprietary information from any specific firm.
3.4 Product names and descriptions that reference industry sectors (e.g., "Multi-Manager Hedge Fund") refer to general industry categories, not specific companies or their proprietary processes.
4. EDUCATIONAL PURPOSE AND NO PROFESSIONAL ADVICE
4.1 Products and Services are provided solely for:
(a) Educational purposes;
(b) Interview preparation and skills development;
(c) Personal professional development.
4.2 Hycalibre does NOT provide:
(a) Investment advice, recommendations, or portfolio management services;
(b) Financial planning or wealth management advice;
(c) Legal, tax, accounting, or regulatory advice;
(d) Career counseling or job placement services;
(e) Any form of professional advice requiring licensure or certification.
4.3 Nothing on the Site or in any Product constitutes an offer to buy or sell securities, an invitation to invest, or a recommendation regarding any specific investment strategy.
4.4 You acknowledge that:
(a) Past performance scenarios in Products are hypothetical and do not guarantee future results;
(b) Products are for educational practice only and should not be used for actual investment decisions;
(c) You are solely responsible for your investment decisions and career choices;
(d) You should seek qualified professional advice before making any financial or career decisions.
5. INTELLECTUAL PROPERTY RIGHTS
5.1 All intellectual property rights in the Site, Products, and Services, including but not limited to:
(a) Text, graphics, logos, images, software, code, and design;
(b) Financial models, case studies, templates, and frameworks;
(c) Methodologies, analytical approaches, and educational content;
(d) Trademarks, trade names, and brand elements;
are owned exclusively by Hycalibre or our licensors and are protected by UK and international copyright, trademark, and intellectual property laws.
5.2 No intellectual property rights are transferred to you upon purchase. You receive only a limited license as described in Section 6.
5.3 Unauthorized use of our intellectual property may result in legal action, including claims for damages, injunctive relief, and recovery of legal costs.
6. LICENSE GRANT AND RESTRICTIONS
6.1 Upon purchase and full payment, Hycalibre grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:
(a) Download and access the purchased Product;
(b) Use the Product solely for Personal Use as defined in Section 1.1.
6.2 You are STRICTLY PROHIBITED from:
(a) Distributing, sharing, transmitting, or providing access to any Product, in whole or in part, to any third party, whether free or for compensation;
(b) Selling, reselling, licensing, sublicensing, renting, or leasing any Product;
(c) Reproducing, copying, duplicating, or creating derivative works from any Product without express written permission;
(d) Removing, altering, or obscuring any copyright, trademark, or proprietary notices;
(e) Reverse engineering, decompiling, or disassembling any Product;
(f) Using any Product for commercial purposes, including in professional consulting, training programs, or educational courses without a separate commercial license;
(g) Uploading, posting, or sharing any Product on file-sharing platforms, social media, forums, or any public or private online spaces;
(h) Using any Product in a manner that violates any applicable law or regulation.
6.3 Each license is personal to you and may not be transferred, assigned, or shared.
6.4 We reserve the right to revoke your license immediately if you breach any terms, without refund.
7. ACCOUNT REGISTRATION AND SECURITY
7.1 To purchase Products, you must create an account and provide accurate, complete information.
7.2 You are responsible for:
(a) Maintaining the confidentiality of your account credentials;
(b) All activities that occur under your account;
(c) Notifying us immediately of any unauthorized access.
7.3 We reserve the right to:
(a) Refuse registration or terminate accounts at our sole discretion;
(b) Suspend or terminate accounts that breach these Terms;
(c) Remove or refuse any content that violates these Terms or applicable law.
8. PAYMENT AND PRICING
8.1 All prices are displayed in GBP (£) and include VAT where applicable.
8.2 Payment is required in full before access to Products is granted.
8.3 We accept payment methods as displayed at checkout. By providing payment information, you represent that you are authorized to use that payment method.
8.4 We reserve the right to change prices at any time without notice, though price changes will not affect orders already placed.
9. REFUND POLICY
9.1 Due to the digital nature of our Products and immediate access upon purchase, all sales are FINAL and NON-REFUNDABLE except as required by law or at our sole discretion.
9.2 Refunds may be considered only in the following exceptional circumstances:
(a) Technical error preventing download or access, where we cannot resolve the issue within 7 days;
(b) Duplicate charges due to processing errors;
(c) Product materially different from description, provided the issue is reported within 48 hours of purchase.
9.3 Refund requests must be submitted in writing to buyside@hycalibre.com within 48 hours of purchase, clearly stating the reason and providing evidence where applicable.
9.4 Refunds, if granted, will be processed to the original payment method within 14 days.
9.5 Your statutory rights under UK consumer protection law are not affected.
10. COPYRIGHT ENFORCEMENT AND ANTI-PIRACY
10.1 We take intellectual property infringement seriously and actively monitor for unauthorized distribution of our Products.
10.2 If you become aware of any unauthorized distribution, copying, or sharing of our Products, please report it immediately to buyside@hycalibre.com.
10.3 We reserve the right to:
(a) Pursue legal action against users who violate intellectual property restrictions;
(b) Seek injunctive relief to prevent further distribution;
(c) Claim damages, including statutory damages, lost profits, and legal costs;
(d) Terminate accounts and revoke licenses without refund.
10.4 We employ technological measures including watermarking and digital fingerprinting to track unauthorized distribution.
11. DISCLAIMER OF WARRANTIES
11.1 TO THE FULLEST EXTENT PERMITTED BY LAW:
(a) Products and Services are provided "AS IS" and "AS AVAILABLE" without any warranties of any kind, whether express or implied;
(b) We disclaim all warranties, including but not limited to:
(i) Warranties of merchantability, fitness for a particular purpose, and non-infringement;
(ii) Warranties that Products will meet your requirements or achieve any particular result;
(iii) Warranties that Products are error-free, accurate, reliable, or complete;
(iv) Warranties regarding job offers, interview success, or career advancement.
(c) We do not warrant that:
(i) The Site will be uninterrupted, secure, or error-free;
(ii) Defects will be corrected;
(iii) The Site or servers are free from viruses or harmful components.
11.2 No advice or information obtained from us or through the Site creates any warranty not expressly stated herein.
11.3 This Section 11 does not affect warranties that cannot be excluded or limited under applicable law.
12. LIMITATION OF LIABILITY
12.1 TO THE FULLEST EXTENT PERMITTED BY LAW:
(a) Hycalibre, its officers, employees, affiliates, and licensors shall NOT be liable for:
(i) Any indirect, incidental, special, consequential, or punitive damages;
(ii) Loss of profits, revenue, data, or business opportunities;
(iii) Personal injury or property damage (except where caused by our negligence);
(iv) Failure to secure employment or achieve interview success;
(v) Investment losses or financial decisions made using Products;
(vi) Any claim arising from unauthorized access to your account due to your failure to maintain security.
(b) Our total aggregate liability for any claims arising from or relating to these Terms, the Site, or Products shall not exceed the amount you paid for the specific Product giving rise to the claim, or £100, whichever is less.
12.2 NOTHING IN THESE TERMS EXCLUDES OR LIMITS OUR LIABILITY FOR:
(a) Death or personal injury caused by our negligence;
(b) Fraud or fraudulent misrepresentation;
(c) Any liability that cannot be excluded or limited under applicable law.
12.3 The limitations in this Section 12 shall apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise.
13. INDEMNIFICATION
13.1 You agree to indemnify, defend, and hold harmless Hycalibre, its officers, employees, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses (including reasonable legal fees) arising from or relating to:
(a) Your breach of these Terms;
(b) Your violation of any law or regulation;
(c) Your violation of any third party rights, including intellectual property rights;
(d) Your unauthorized distribution, sharing, or commercial use of Products;
(e) Any content you submit or transmit through the Site;
(f) Your use of Products or Services;
(g) Any claim that your use of Products caused damage to a third party.
13.2 We reserve the right to assume exclusive defense and control of any matter subject to indemnification, at your expense.
14. TERMINATION
14.1 We may suspend or terminate your access to the Site and Services immediately, without notice or liability, for any reason, including if:
(a) You breach any provision of these Terms;
(b) We suspect fraudulent, abusive, or illegal activity;
(c) Required by law or regulatory authority;
(d) We discontinue the Site or Services.
14.2 Upon termination:
(a) Your license to use Products is immediately revoked;
(b) You must cease all use of Products and destroy all copies;
(c) Sections 5, 11, 12, 13, 15, 18, and 19 survive termination;
(d) No refunds will be provided except as required by law.
14.3 You may terminate your account at any time by contacting us at buyside@hycalibre.com. Termination does not entitle you to a refund.
15. DISPUTE RESOLUTION
15.1 GOVERNING LAW: These Terms and any dispute arising from or relating to them, the Site, or Services shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
15.2 JURISDICTION: Subject to Section 15.3, the courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising from or relating to these Terms.
15.3 ALTERNATIVE DISPUTE RESOLUTION: Before initiating formal legal proceedings, parties agree to attempt to resolve disputes through good faith negotiation for a period of 30 days.
15.4 BINDING ARBITRATION: Any dispute that cannot be resolved through negotiation shall be resolved through binding arbitration under the rules of the London Court of International Arbitration (LCIA), with arbitration seated in London, England. Each party shall bear its own costs.
15.5 CLASS ACTION WAIVER: You agree to resolve disputes on an individual basis only. You waive any right to participate in class actions, class arbitrations, or representative proceedings of any kind.
15.6 Nothing in this Section 15 prevents us from seeking injunctive relief in any jurisdiction to protect our intellectual property rights.
16. DATA PROTECTION AND PRIVACY
16.1 Your use of the Site is also governed by our Privacy Policy, available at hycalibre.com/privacy-policy, which is incorporated into these Terms by reference.
16.2 We process personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
16.3 By using the Site, you consent to such processing and warrant that all data provided is accurate.
17. THIRD PARTY LINKS AND CONTENT
17.1 The Site may contain links to third-party websites or services not owned or controlled by Hycalibre.
17.2 We have no control over and assume no responsibility for third-party content, privacy policies, or practices.
17.3 You acknowledge and agree that Hycalibre shall not be liable for any damage or loss caused by use of or reliance on third-party content.
18. GENERAL PROVISIONS
18.1 ENTIRE AGREEMENT: These Terms constitute the entire agreement between you and Hycalibre regarding use of the Site and Services, superseding any prior agreements.
18.2 SEVERABILITY: If any provision is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
18.3 WAIVER: Failure to enforce any right or provision does not constitute a waiver of that right or provision.
18.4 ASSIGNMENT: You may not assign or transfer these Terms or your rights hereunder. We may assign these Terms without restriction.
18.5 NO AGENCY: Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship.
18.6 FORCE MAJEURE: We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, labor disputes, or internet service failures.
18.7 NOTICES: All notices must be sent to buyside@hycalibre.com.
18.8 HEADINGS: Section headings are for convenience only and do not affect interpretation.
18.9 THIRD PARTY RIGHTS: Nothing in these Terms confers any right on any third party under the Contracts (Rights of Third Parties) Act 1999.
